Authorized Reseller Agreement

This agreement is between Elementum Press, LLC (“Elementum Press”, “we”) and the business that applies on this site to become an Authorized Reseller (“the Reseller”, “you”). It applies once we approve your application.

1. Appointment

We authorize you, on a non-exclusive basis, to offer the Periodic Tobacco Tables prints to your customers and to take their orders through this site. You act as an independent business. You are not our employee, agent or partner, and you may not make promises or agreements on our behalf.

2. Approval

We review every application and may approve or decline it at our discretion. We may suspend or end your authorization at any time by notice in your account or by email.

3. How orders work

• You or your customer place each order on this site, using your shop’s order page or QR code.
• The customer pays on our secure checkout. You do not collect payment for prints.
• Our print partner makes and ships each print. You hold no inventory.
• We handle payment, shipping, returns and customer service for the prints. Please send any order questions to us.

4. Prices

We set the retail prices shown at checkout. You may not charge customers anything extra for a print or promise a different price.

5. Commission

• You earn the commission rate shown in your account on each order placed through your shop’s order page or QR code.
• Commission is calculated on the price of the prints after any discount, not counting sales tax or shipping.
• Commission is paid monthly for orders paid at least 30 days earlier (the return window), by the payment method you choose in your account.
• If an order is refunded or cancelled, its commission is not owed. If it was already paid, we deduct it from a later payout.
• We may change the commission rate for future orders with 30 days’ notice.

6. Taxes

You must give us a completed IRS Form W-9 before your first payout. You are responsible for your own taxes on commissions. We will issue tax forms where the law requires.

7. Our name and images

While you are authorized, you may display the counter card and images we provide and describe your business as an Authorized Reseller of the Periodic Tobacco Tables. You may not copy, print, alter or reproduce the posters, tables, map or images in any form. When your authorization ends, you must stop using them.

8. Customer information

Use any customer details you enter only to serve that customer, and handle them as the law requires.

9. Conduct

Describe the prints accurately, make no health claims, and follow every law that applies to your business. The prints are for adults 21 and older.

10. Ending the agreement

Either of us may end this agreement at any time by notice. Commission earned before the end is paid once its return window has passed, less any refunds.

11. General

To the extent the law allows, neither party is liable to the other for indirect or consequential losses. Maryland law governs this agreement. We may update it with notice; continuing to take orders after notice means you accept the update.
